1. Introduction & Acceptance
1.1 Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Somnus Sleep Wellness Pte Ltd ("Somnus," "we," "us," or "our"), a company registered in Singapore with registration number 202230343W and registered address at 33 Oxford Road, #03-02, Singapore 218816.
By accessing, browsing, registering for, or using:
- Our website at somnuswellness.com 
- Our learning management system at somnuswellness.launchlms.com 
- Our mobile application (iOS and Android) 
- Any services, content, features, or products we offer (collectively, the "Services") 
You agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our Services.
1.2 Additional Policies
By using our Services, you also agree to:
- Our Privacy Policy (available at https://www.somnuswellness.com/privacy-policy) 
- Any additional terms presented to you when using specific features or services 
- Course-specific terms for our learning management system 
These documents are incorporated into these Terms by reference.
1.3 Updates to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Effective Date" above 
- We will notify you via email and/or a prominent notice on our website/app 
- Continued use of the Services after changes constitutes acceptance 
- If you don't accept the updated Terms, you must stop using our Services 
2. Definitions
- "Account": Your registered user account with Somnus 
- "App": The Somnus Sleep Wellness mobile application 
- "Content": All text, graphics, images, videos, courses, reports, assessments, and other materials provided through the Services 
- "Health Information": Any personal health, wellness, or sleep-related data you provide to us 
- "Report": Sleep screening results, assessments, or analyses generated by our Services 
- "Screening": Sleep health screening questionnaires and evaluations we provide 
- "Services”: All products, services, features, content, and functionality offered by Somnus 
- "Subscription": Any paid recurring access plan for our Services 
- "Therapy Services": Psychological support, counseling, or clinical services provided by licensed professionals through our platform 
- "User Content": Any content, data, or information you submit, upload, or transmit through the Services 
3. Eligibility & Registration
3.1 Age & Capacity
You must be:
- At least 18 years old (or the age of majority in your jurisdiction) 
- Legally capable of entering into binding contracts 
- Not prohibited from using the Services under Singapore law or any other applicable law 
If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.
3.2 Account Registration
To access certain Services, you must create an account by providing:
- Accurate, current, and complete information 
- A valid email address 
- A secure password 
You are responsible for:
- Maintaining the confidentiality of your account credentials 
- All activities that occur under your account 
- Notifying us immediately of any unauthorized access or security breach 
We reserve the right to refuse registration or terminate accounts at our sole discretion.
3.3 Account Verification
We may require identity verification or additional documentation before granting access to certain Services, particularly Therapy Services.
3.4 One Account Per Person
You may only create one account. Creating multiple accounts may result in suspension or termination.
4. Description of Services
4.1 Services We Provide
Somnus offers the following Services:
Sleep Health Screening:
- Online self-administered questionnaires 
- Sleep pattern analysis 
- Risk assessment for sleep disorders 
- Personalized screening reports 
Educational Content:
- Online courses on sleep health and wellness 
- Articles, videos, and learning materials 
- Webinars and workshops 
Therapy & Psychological Support Services:
- Individual consultation sessions with licensed psychologists 
- Group therapy or support sessions 
- Follow-up care and monitoring 
Sleep Coaching:
- Individual sleep coaching sessions via teleconsultation 
- Science-backed, personalized strategies for sustainable sleep improvement 
- Preventive care for individuals seeking to enhance sleep quality and satisfaction 
Wellness Monitoring:
- Sleep tracking and logging tools (via App) 
- Progress tracking and analytics 
- Personalized recommendations 
4.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any Service at any time 
- Change features, functionality, or availability 
- Update content, courses, or materials 
- Impose limits on usage or features 
We will provide reasonable notice of material changes where feasible, but are not obligated to do so.
4.3 Service Availability
Services are provided on an "as available" basis. We do not guarantee:
- Uninterrupted or error-free access 
- That Services will meet your specific requirements 
- That defects will be corrected 
- Availability at all times or from all locations 
Scheduled maintenance, technical issues, or circumstances beyond our control may cause temporary unavailability.
5. User Obligations & Acceptable Use
5.1 Accurate Information
You must:
- Provide truthful, accurate, and complete information 
- Update your information promptly when it changes 
- Not impersonate any person or entity 
- Not provide false health information (this could affect the accuracy of your screening results) 
5.2 Prohibited Conduct
You agree NOT to:
Technical Misuse:
- Reverse engineer, decompile, or disassemble any part of the Services 
- Use automated systems (bots, scrapers, crawlers) to access the Services 
- Attempt to gain unauthorized access to our systems or other users' accounts 
- Introduce viruses, malware, or malicious code 
- Interfere with or disrupt the Services or servers 
- Bypass security measures or access restrictions 
Content Violations:
- Upload, post, or transmit illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content 
- Violate intellectual property rights 
- Share false or misleading information 
- Post spam or unsolicited promotional content 
Misuse of Services:
- Use Services for any unlawful purpose 
- Violate any applicable laws or regulations 
- Use Services to harm, threaten, or harass others 
- Share your account credentials with others 
- Resell, redistribute, or commercially exploit the Services without authorization 
- Use Services to provide services to third parties without our written consent 
Health-Related Violations:
- Use another person's health information 
- Submit fabricated health data 
- Rely on Services as a substitute for professional medical care (see Section 6) 
- Use screening results to self-diagnose or make medical decisions without consulting healthcare professionals 
5.3 Compliance with Laws
You are solely responsible for ensuring your use of the Services complies with all applicable laws, including but not limited to healthcare regulations, data protection laws, and professional licensing requirements.
6. Health & Medical Disclaimer
CRITICAL: READ THIS SECTION CAREFULLY
6.1 Not Medical Advice or Diagnosis
THE SERVICES ARE NOT MEDICAL DEVICES AND DO NOT PROVIDE MEDICAL DIAGNOSIS, TREATMENT, OR PROFESSIONAL MEDICAL ADVICE.
Our Services are designed for:
- Wellness and educational purposes 
- Sleep health awareness and screening 
- General psychological support and counseling 
They are NOT substitutes for:
- Professional medical diagnosis 
- Treatment from licensed physicians 
- Emergency medical care 
- Psychiatric treatment for serious mental health conditions 
6.2 Screening Limitations
Our sleep screening tools:
- Provide risk assessments and informational reports only 
- Are based on self-reported data and standardized questionnaires 
- May contain inaccuracies or be affected by incomplete information 
- Cannot detect all sleep disorders or health conditions 
- Are not validated diagnostic instruments under medical device regulations 
A screening report is not a diagnosis. Only a qualified healthcare provider can diagnose sleep disorders.
6.3 Therapy Services Limitations
If you use our Therapy Services:
- Sessions are conducted by licensed psychologists or qualified therapists 
- Therapy is intended for general wellness, stress management, and mild-to-moderate psychological concerns 
Therapy is NOT appropriate for:
- Psychiatric emergencies or crises 
- Severe mental health conditions requiring intensive treatment 
- Situations requiring medication management 
- Court-ordered or mandated therapy 
6.4 When to Seek Medical Help
Seek immediate professional medical help if you experience:
- Severe or chronic sleep problems 
- Symptoms of serious sleep disorders (severe sleep apnea, narcolepsy, dangerous sleepwalking) 
- Suicidal thoughts or thoughts of harming yourself or others 
- Severe mental health crises 
- Medical emergencies 
6.5 No Doctor-Patient Relationship
Use of our Services does not create a doctor-patient relationship. Our psychologists and therapists provide counseling services, not medical treatment.
6.6 Your Responsibility
You acknowledge and agree that:
- You use the Services at your own risk 
- You are responsible for decisions you make based on information from the Services 
- You should consult qualified healthcare professionals for medical advice, diagnosis, and treatment 
- We are not liable for health outcomes resulting from your use of the Services 
- You will not rely solely on our Services for health-related decisions 
6.7 App Tracking Disclaimer
If you use our App for sleep tracking:
- Tracking accuracy depends on device sensors, user input, and algorithms 
- Data may be incomplete or inaccurate 
- Tracking is for informational purposes, not medical monitoring 
- Do not use tracked data to diagnose or treat medical conditions 
7. Fees, Payments & Subscriptions
7.1 Pricing
Certain Services require payment:
- One-time fees: For individual screening reports, courses, or consultations 
- Subscriptions: Recurring monthly or annual plans for ongoing access 
- In-app purchases: For premium features or content (via Apple App Store or Google Play) 
All fees are stated in Singapore Dollars (SGD) or other currencies as specified, and are inclusive of applicable taxes unless otherwise noted.
Current pricing is available within the App.
7.2 Payment Terms
Payment Methods:
- Credit/debit card 
- Apple App Store purchases (subject to Apple's terms) 
- Google Play purchases (subject to Google's terms) 
- Other methods as we may offer 
Authorization:
By providing payment information, you:
- Authorize us to charge the applicable fees 
- Represent that you are authorized to use the payment method 
- Agree that we may store payment information or use third-party payment processors 
Payments are processed by third-party providers. We do not store full credit card details.
7.3 Subscriptions
Auto-Renewal:
- Subscriptions automatically renew at the end of each billing period unless you cancel 
- Your payment method will be charged automatically upon renewal 
- Renewal price may differ from initial price; we'll notify you of changes before renewal 
Cancellation:
- You may cancel your subscription at any time: 
- Website subscriptions: Account settings or by contacting support 
- App subscriptions: Through Apple App Store or Google Play settings (we cannot cancel App Store/Play Store subscriptions on your behalf) 
Cancellation takes effect at the end of the current billing period. You will retain access until that date.
No Partial Refunds:
If you cancel, you will not receive a prorated refund for the unused portion of your subscription period, except as required by law or as stated in Section 7.4.
7.4 Refunds
General Policy:
All fees are non-refundable except:
- Where required by applicable consumer protection laws 
- In cases of billing errors or unauthorized charges 
- At our sole discretion in exceptional circumstances 
Refund Requests:
To request a refund, contact us at admin@somnuswellness.com within 7 days of the charge with:
- Transaction details 
- Reason for refund request 
- Supporting documentation (if applicable) 
We will review and respond within 14 business days.
App Store/Play Store Purchases:
For purchases made through Apple or Google, refund requests must be submitted directly to Apple or Google according to their refund policies. We cannot process refunds for these transactions.
7.5 Price Changes
We may change our pricing at any time. For subscriptions:
- Price changes apply to renewals after notice is provided 
- We will give you at least 30 days' notice of price increases 
- You may cancel before the new price takes effect 
7.6 Late Payment & Suspension
If payment fails or is declined:
- We will attempt to re-process the payment 
- We may suspend or terminate your access to paid Services 
- You remain responsible for outstanding fees 
- We may charge late fees or interest as permitted by law 
7.7 Taxes
You are responsible for any taxes, duties, or government charges related to your purchase, except for taxes based on our net income.
8. Intellectual Property Rights
8.1 Our Ownership
All intellectual property in the Services belongs to us or our licensors, including:
- Website and App design, layout, and code 
- Content (text, graphics, videos, courses, articles, reports) 
- Somnus trademarks, logos, and branding 
- Screening questionnaires and assessment tools 
- Algorithms, software, and technology 
- Reports and analytics generated by our systems 
All rights reserved. Nothing in these Terms transfers ownership of our intellectual property to you.
8.2 Trademarks
"Somnus Sleep Wellness," our logo, and related marks are trademarks owned by us. You may not use our trademarks without our prior written consent.
8.3 Limited License to Users
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services for your personal, non-commercial use 
- View and download Content for personal reference 
- Use the App on your personal devices 
You may NOT:
- Copy, reproduce, distribute, or create derivative works from our Content 
- Remove copyright, trademark, or proprietary notices 
- Use Content for commercial purposes 
- Modify, translate, or reverse engineer any part of the Services 
- Frame or mirror any part of the Services on another website 
- Sell, rent, lease, or sublicense access to the Services 
8.4 User Content License
If you submit, upload, or transmit content through the Services (feedback, forum posts, testimonials, communications), you grant us:
- A worldwide, perpetual, irrevocable, royalty-free, transferable license 
- To use, reproduce, modify, publish, distribute, and display your User Content 
- For purposes of providing, improving, and promoting our Services 
You represent and warrant that:
- You own or have rights to the User Content you submit 
- Your User Content does not violate any third-party rights or laws 
- You have obtained all necessary consents and permissions 
8.5 Feedback
Any feedback, suggestions, or ideas you provide about the Services become our property. We may use them without compensation or attribution to you.
8.6 Copyright Infringement
We respect intellectual property rights. If you believe any Content infringes your copyright:
Submit a notice to: admin@somnuswellness.com
Include:
- Your contact information 
- Description of the copyrighted work 
- Location of the infringing material on our Services 
- A statement that you have a good faith belief the use is unauthorized 
- A statement that the information is accurate and you are authorized to act 
- Your physical or electronic signature 
We will investigate and take appropriate action, which may include removing the content.
9. Privacy & Data Use
9.1 Privacy Policy
Our collection, use, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated into these Terms.By using the Services, you consent to our data practices as described in the Privacy Policy.
9.2 Health Information
You acknowledge that:
- You will provide accurate health information 
- We will handle your health data in accordance with our Privacy Policy and applicable laws 
- Health information is sensitive and requires explicit consent (see Privacy Policy) 
- We may use de-identified or aggregated health data for research and improvement. 
9.3 Communications
You consent to receive communications from us, including:
- Service-related notifications (account, appointments, screening results) 
- Marketing communications (if you opt-in; you may opt-out anytime) 
- Administrative updates 
- Legal notices 
Communications may be sent via email, SMS, push notifications, or in-app messages.
10. Disclaimers & Warranties
10.1 "As Is" and "As Available"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability, fitness for a particular purpose, and non-infringement 
- That Services will be uninterrupted, secure, or error-free 
- That defects will be corrected 
- That Services are free from viruses or harmful components 
- Accuracy, reliability, or completeness of Content or screening results 
- That our Services will meet your requirements or expectations 
10.2 No Guarantee of Results
We do not guarantee that:
- You will achieve any particular health outcome 
- Screening results will be accurate or complete 
- Therapy Services will resolve your concerns 
- Content will be suitable for your situation 
10.3 Third-Party Services
We are not responsible for:
- Third-party services, websites, or links 
- Apple App Store or Google Play Store 
- Payment processors 
- Healthcare providers you may consult based on our recommendations 
Your use of third-party services is at your own risk and subject to their terms.
10.4 User Responsibility
You are solely responsible for:
- Your use of the Services 
- Decisions you make based on information from the Services 
- Seeking professional medical advice when needed 
- Evaluating the accuracy and suitability of Content for your situation 
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
11.1 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages 
- Loss of profits, revenue, data, or business opportunities 
- Personal injury or emotional distress (except where caused by our negligence) 
- Damages arising from your use of or inability to use the Services 
- Reliance on Content, screening results, or advice from the Services 
- Errors, mistakes, or inaccuracies in Content 
- Unauthorized access to or alteration of your data 
- Interruption or cessation of Services 
- Viruses or malicious code transmitted through the Services 
- Loss or damage to any device or data 
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:
The amount you paid to us in the 12 months prior to the event giving rise to liability, OR SGD $100
11.3 Exclusions
Some jurisdictions do not allow exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
These limitations apply:
- Regardless of the basis of liability (contract, tort, negligence, strict liability, or otherwise) 
- Even if any remedy fails of its essential purpose 
11.4 Acknowledgment
You acknowledge that the fees you pay reflect this allocation of risk and that we would not provide the Services without these limitations.
12. Indemnification
12.1 Your Indemnity Obligations
You agree to indemnify, defend, and hold harmless Somnus, our affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Services 
- Your violation of these Terms 
- Your violation of any law or regulation 
- Your violation of any third-party rights (including intellectual property, privacy, of publicity rights) 
- Your User Content 
- Any false, inaccurate, or misleading information you provide 
- Your health-related decisions or outcomes based on the Services 
12.2 Defense
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of such claims.
13. Termination & Suspension
13.1 Termination by You
You may terminate your account at any time by:
● Using the account deletion feature in the App or website
● Contacting us at admin@somnuswellness.com
Upon termination:
● Your access to Services will cease
● Your data will be handled according to our Privacy Policy
● Paid subscriptions will not be refunded except as required by law.
7. Fees, Payments & Subscriptions
